§ 1 Scope & Contracting Parties

These Terms and Conditions govern the use of the SaaS platform "Solohaus", operated by Nexus – Automation & Implementation (sole trader), Holzmarktstraße 73, 10179 Berlin, Germany (hereinafter "Provider").

By registering for or using the Service, the user agrees to these Terms. Deviating terms of the user shall only apply if the Provider has expressly agreed to them in writing.

§ 2 Service Description

Solohaus is a web-based business management tool for freelancers and solopreneurs. The Service includes the creation of offers and invoices, client management, financial planning, and AI-assisted analysis.

The Provider reserves the right to modify, extend, or restrict the scope of the Service at any time, provided such changes are reasonable for the user.

§ 3 Subscription Plans & Pricing

3.1 Plans

Solohaus is offered in the following subscription tiers:

• Starter (free): Limited to 5 lifetime documents with document tracking. No credit card required.
• Essentials: Unlimited documents, PDF export, and custom branding.
• Pro: Includes the full FP&A suite, bank reconciliation, VAT reports, and AI agents with a monthly usage budget.
• Business: Includes everything in Pro, plus unlimited AI usage and a KPI dashboard.

3.2 Billing Intervals

Paid plans are available on a monthly or yearly billing cycle. Yearly plans are billed annually in advance at a discounted rate. Monthly plans are billed monthly in advance.

3.3 Payment Processing

Payments are processed by Stripe, Inc. Solohaus accepts credit cards (Visa, Mastercard, American Express) and SEPA direct debit. Payment card details are processed directly by Stripe and are never stored on Solohaus servers.

3.4 Automatic Renewal

Subscriptions renew automatically at the end of each billing period (monthly or yearly) unless cancelled before the renewal date. The user will be charged the then-current price for their plan at each renewal.

3.5 Upgrades and Downgrades

Users may upgrade or downgrade their plan at any time through the billing settings. Upgrades take effect immediately, with the price difference prorated for the remainder of the current billing period. Downgrades take effect at the end of the current billing period; the user retains access to their current plan's features until then.

3.6 Free Tier

The Starter tier is free and has no time limit. It is not a trial. Users on the Starter tier are not required to provide payment information. Existing documents created on the Starter tier remain accessible regardless of plan changes.

§ 4 Cancellation & Refunds

4.1 Cancellation

Users may cancel their subscription at any time through the billing settings (customer portal). Cancellation takes effect at the end of the current billing period. The user retains access to their paid features until the billing period ends. After the billing period ends, the account reverts to the Starter (free) tier.

4.2 Refunds

Solohaus does not offer refunds for partial billing periods. If a user cancels mid-period, they retain access until the period ends but are not entitled to a prorated refund.

Exception: If the user exercises their right of withdrawal pursuant to § 9 of these Terms (where applicable), refunds will be processed in accordance with the statutory requirements.

4.3 Price Changes

Solohaus may change subscription prices with at least 30 days' prior notice. Price changes will be communicated via email to the address associated with the account. Price changes take effect at the start of the next billing period following the notice period. If the user does not agree with the new prices, they may cancel before the next billing period.

4.4 Account Termination by Provider

Solohaus reserves the right to terminate a user's account for material breach of these Terms, including but not limited to: use of the Service for illegal purposes, circumvention of usage limits, or repeated payment failures. In such cases, Solohaus will provide reasonable notice (at least 14 days) except where immediate termination is required by law.

4.5 Data After Cancellation

Upon cancellation or account termination, the user's data is handled in accordance with § 10 (Retention & Termination) of these Terms. The user may export their data before the account is closed.

§ 5 Financial & Tax Disclaimer

Solohaus is a business management tool and does not constitute tax advice, an accounting service, or legal advice.

All calculations, tax estimates, and financial analyses are provided for informational purposes only. The user is solely responsible for the accuracy of their tax filings and compliance with applicable tax regulations. For binding tax or legal advice, consult a qualified tax advisor or attorney.

§ 6 AI Usage & Transparency

Solohaus uses artificial intelligence (AI) provided by third-party services to support financial analysis. When using AI features, you are interacting with an AI system, not a human advisor.

AI-generated results may be inaccurate or incomplete. The user is obligated to independently verify all AI-generated content before making decisions based on it. The Provider assumes no liability for damages arising from reliance on AI-generated content.

AI features are optional and require explicit consent. Full details about the AI systems used, the data processed, and your rights are provided in our Privacy Policy under "AI Transparency Disclosure."

§ 7 Liability Limitation

The Provider shall be liable without limitation for damages caused intentionally or through gross negligence, as well as for damages arising from injury to life, body, or health.

In the case of slight negligence, the Provider shall only be liable for breaches of material contractual obligations (cardinal obligations). In such cases, liability is limited to foreseeable, contract-typical damages.

Liability for indirect damages, lost profits, data loss, and business interruption is – to the extent legally permitted – excluded.

In particular, the Provider shall not be liable for errors in calculations, tax estimates, or financial outputs generated by the Service.

§ 8 Data Protection & Processing

Personal data is processed in accordance with our Privacy Policy. A Data Processing Agreement is available for customers who require one. Details on cookie usage can be found in our Cookie Policy.

The user retains ownership of all data entered into Solohaus. The Provider acquires no ownership or usage rights beyond what is necessary for the provision of the Service.

§ 9 Right of Withdrawal (Widerrufsbelehrung)

9.1 Right of Withdrawal

If you are a consumer within the meaning of section 13 BGB, you have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day the contract is concluded.

To exercise the right of withdrawal, you must inform us:

by an unequivocal statement (e.g. a letter sent by post or email) of your decision to withdraw from this contract. You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

9.2 Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (with the exception of supplementary costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

9.3 Exclusion of the Right of Withdrawal

The right of withdrawal expires for contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer's prior express consent and their acknowledgment that they thereby lose their right of withdrawal (section 356(5) BGB).

When subscribing to a paid plan, you will be asked to expressly consent to the immediate commencement of the service and to acknowledge the loss of your right of withdrawal. If you give this consent, the right of withdrawal expires once the service has begun.

The free Starter tier does not involve a paid transaction and therefore does not trigger withdrawal rights under distance selling regulations.

§ 10 Retention & Termination

After termination of the user account, the user's data will be deleted, unless statutory retention obligations apply. Tax-relevant documents and accounting records are retained for ten years in accordance with Section 147 AO and Section 257 HGB.

The user may request an export of their data prior to deletion.

§ 11 Governing Law & Jurisdiction

The laws of the Federal Republic of Germany shall apply. The courts of Berlin shall have jurisdiction for all disputes arising from or in connection with this agreement, provided the user is a merchant, a legal entity under public law, or a special fund under public law.
